There are no verbal agreements warranties, representations or understandings that affect this Agreement.  All previous negotiations, representations and understandings between tecno and the distributor are merged herein and this Agreement supersedes, cancels and annuls all contracts, undertakings or agreements of prior dates relating to the subject matter of this Agreement between TECNO and the distributor, unless expressly stipulated herein or, subsequently, agreed upon in writing by duly authorised representatives of each party hereinafter.
