* Ristrutturazione 350 milioni debito prevede pegno su 33,5% Mps e su Fresh 2008
* Pegno va in default se debito supera 70% valore azioni Mps di Fondazione
* Fondazione paga rate a 12 banche fino a giugno 2018 a Euribor con spread crescente

ROMA (Reuters) - La Fondazione Mps, primo azionista della terza banca italiana, ha in pegno con 12 banche creditrici l'intera sua partecipazione strategica del 33,5% di Mps e l'intero pacchetto di titoli Fresh 2008 da 490 milioni di valore nominale, a garanzia del suo debito residuo di 350 milioni.
I creditori hanno "la possibilit di appropriarsi delle azioni" in garanzia se il debito supera in valore il 70% del valore di mercato della quota Mps della Fondazione (contando anche quelle convertibili dal Fresh).
Ai prezzi attuali poco sotto 0,24 euro per azione Mps, il valore dei 4 miliardi di azioni in mano alla Fondazione date in pegno ha un rapporto con il debito del 36,5%, ben all'interno della linea di default del 70%.
In una informativa della direzione amministrativa della Fondazione, preparata a inizio settembre del 2012, che Reuters ha potuto visionare, si dettaglia la ristrutturazione di questo debito fatta nel giugno 2012 dopo che erano stati rimborsati alle banche 679,6 milioni.
Un passo indietro di 5 anni. La Fondazione nel settembre del 2007 aveva un patrimonio, a valore di libro, di circa 6,4 miliardi. La sua quota della banca in azioni ordinarie, risparmio e privilegiate, era nel patrimonio immobilizzato a un valore di libro di circa 2 miliardi.
Quella quota mostrava una plusvalenza teorica - cioè quella che avrebbe avuto Fondazione se avesse venduto agli allora prezzi di mercato - di quasi 4,6 miliardi, secondo i dati del bilancio 2007.
Per evitare di diluire sotto il 50% la sua quota nel Monte, la Fondazione ha acceso dal 2008 debiti superiori a un miliardo di euro, oggi ridotti a 350 milioni, per coprire pro-quota successivi aumenti di capitale di Mps a partire da quello da 5 miliardi del 2008, oltre ai 490 milioni di Fresh, per comprare Antonveneta.
Evidentemente invano.
PERDERE IL CONTROLLO
Ora la prospettiva sottolineata tra i rischi prospettici proprio dallo stesso documento della direzione amministrativa, è quella di perdere il controllo, anche relativo, della banca senese.
L'azionista di Palazzo Sansedoni dovr vendere ancora azioni della sua quota strategica per pagare i debiti, diluirsi sia con l'ingresso del Tesoro per le cedole dei Monti bond sia per l'aumento da un miliardo precluso ai soci attuali che Mps far entro il 2015 per ripagare gli aiuti pubblici.
Il debito attuale di 350 milioni, coperto da questo pegno, deve essere rimborsato dalla Fondazione entro il 30 giugno del 2018 in virtù di un "unico contratto" in cui 12 banche creditrici vantano quote differenti derivanti da due distinti debiti preesistenti.
Uno con un ex pool di banche, che ora residua una esposizione di 206 milioni di euro, ripartiti tra Bnp Paribas, Deutsche Bank, Intesa SP, JP Morgan, Natixis, Mediobanca e Unicredit (ciascuna per 20,6 milioni), Barclays, Credit Agricole CIB, Rbs (ognuna per 17,167 milioni), Goldman Sachs (10,3 milioni).
L'altro con le controparti del derivato total return swap, che era servito a finanziare l'acquisto del Fresh 2008 da 490 milioni e che è stato chiuso a giugno scorso lasciando un debito residuo di 144 milioni, ora diviso tra Mediobanca per 51 milioni e Credit Suisse per 93 milioni.
Questo debito deve essere rimborsato "a rate crescenti" con una scadenza di giugno 2017 che può essere estesa di un anno.
Il piano di rimborso cambia anche a seconda del pagamento o meno di dividendi della banca Mps nel maggio 2013 e maggio 2014 (cioè sugli esercizi 2012 e 2013).
Su questo debito Fondazione paga un Euribor 6 mesi più 425 punti base fino al 2017, e più 525 nell'eventuale anno aggiuntivo a giugno 2018, in due rate annuali a dicembre e a giugno.
LIMITI ALLE EROGAZIONI
Considerando il pegno sulla quota strategica del 33,5% e quello su tutti i titoli Fresh 2008, Fondazione ha libero da pegno, ancora da vendere e quindi nell'attivo circolante, la met del 2,85% indicato a inizio settembre scorso nel documento. Ha gi venduto infatti l'1,44% nelle prime due settimane del settembre 2012.
Il pegno che ha attualmente la Fondazione, non prevede a differenza degli accordi precedenti, "alcuna marginazione in funzione della variazione del prezzo del titolo Bmps", piuttosto prevede il default se il loan to value (il rapporto tra il valore del debito e quello delle azioni in pegno calcolato ogni mercoledì a valore medio di mercato) supera il 70%.
Si spiega nell'informativa, che Fondazione non può "appostare cassa in garanzia in aggiunta ai titoli" e quindi nel caso di default, l'escussione del pegno prevede che i creditori si approprino delle azioni pegnate oppure che le azioni vengano vendute per soddisfare i creditori, dopo un "grace period" di 15 giorni dal default.
L'accordo con i creditori impone anche alla Fondazione dei limiti alla sua attivit istituzionale di erogazione di fondi. Nel 2012 non poteva superare 55 milioni, quest'anno non potr erogare per i progetti più di 40 milioni e dal 2014 il limite è di 30 milioni.
E' finita per la Fondazione, l'Era dell'Oro celebrata appena tre anni fa con il volume "Una Fondazione, la sua comunit : 1995-2010". L'introduzione ricordava che "sono stati quasi due i miliardi di euro erogati da parte della Fondazione Monte dei Paschi di Siena dalla sua istituzione nel 1995 a tutto il 2010".
E il presidente Gabriello Mancini, che scadr ad agosto di quest'anno, commentava: "Tracciare un bilancio non è autocelebrazione, ma trasparenza e condivisione".
Questo accordo di ristrutturazione del debito è definito nel documento Exposure Rebalancing Agreement, acronimo ERA. Una nuova era per Siena.
