TNS, Inc. (TNS) to be Acquired by an Affiliate of
TNS, TNS, Inc.
** TNS reported that it has entered into a definitive merger agreement to be acquired by an investor group led by Siris Capital Group in a transaction valued at approximately $862 million.
Siris will acquire all of the outstanding common shares of TNS for $21.00 per share in cash, representing a premium of approximately 44% over the closing price on December 10, 2012 and 47% over TNS ' volume weighted average share price during the 30 days ended December 10, 2012.
The transaction is expected to close in the first quarter of 2013.
TNS is a leading global provider of data communications and interoperability solutions.
